These Terms & Conditions (“Terms”) govern your access to and use of the website, content, programs, designations, and services (collectively, the “Services”) offered by Prestige Health Worldwide, LLC, doing business as the CrossFit Medical Society (“CFMS,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy and Cookie Notice. If you do not agree, do not use the Services.

Please read Sections 2 and 3 carefully. CFMS is not a healthcare provider and does not practice medicine. CommunityCare is a healthcare cost-sharing arrangement and is not insurance. “CrossFit” is a trademark of CrossFit, LLC, used under license; CFMS is an independent organization.

1. Acceptance and Changes

By using the Services, you represent that you have read, understood, and agree to be bound by these Terms. We may modify these Terms at any time; the most current version will be posted at www.crossfitmedicalsociety.com. Changes are effective when posted, and continued use after posting means you accept them.

2. About CFMS and Important Relationships

CFMS is a health navigation, education, and coordination organization that supports CrossFit affiliates in becoming community-based health hubs. The following relationships are important and are incorporated into these Terms.

CrossFit, LLC (trademark license)

CrossFit® is a registered trademark of CrossFit, LLC. Prestige Health Worldwide, LLC uses the CrossFit Medical Society™ and CFMS Health Hub™ marks under license from CrossFit, LLC. CFMS is an independent organization and is not owned, operated, managed, or endorsed by CrossFit, LLC. CrossFit, LLC is not a party to these Terms, is not responsible or liable for the Services or for the acts or omissions of any CFMS affiliate, Health Hub, or provider, and makes no representations or warranties regarding the Services.

McCoy Medical and Affiliated Providers (clinical services)

CFMS itself does not provide medical care. Clinical services — including medical consultations, provider review and interpretation of laboratory results, diagnosis, and treatment — are provided by McCoy Medical and other independently licensed healthcare providers (together, “Affiliated Providers”). Any provider-patient relationship is solely between you and the applicable Affiliated Provider and is governed by that provider’s own terms, consents, and Notice of Privacy Practices. CFMS does not control, and is not responsible for, the professional judgment, services, or conduct of any Affiliated Provider.

CrowdHealth and CommunityCare (not insurance)

CommunityCare is a healthcare cost-sharing option made available through CFMS’s relationship with CrowdHealth, Inc. (“CrowdHealth”). CommunityCare and CrowdHealth are NOT health insurance. Membership is not an insurance policy or a contract of insurance, is not regulated as insurance, does not guarantee payment of any medical expense, and does not transfer risk to CFMS or CrowdHealth. Whether any medical bill is shared is determined solely under CrowdHealth’s membership guidelines, and you remain personally responsible for your medical bills. CFMS does not provide, administer, underwrite, or guarantee CommunityCare or any cost-sharing; your participation is governed by CrowdHealth’s own terms and guidelines.

The Coach Graici Health Hub Portal

Certain Services are delivered through the Coach Graici Health Hub Portal (the “Portal”), a technology platform operated by Catalina Health, Inc. Coach Graici is a non-clinical navigation and coordination tool that surfaces information, schedules, educates, and organizes member-owned data. It does not diagnose, interpret laboratory results, or prescribe. Medical interpretation is performed only by Affiliated Providers.

3. No Medical Advice; No Provider-Patient Relationship with CFMS

THE SERVICES, INCLUDING ANY CONTENT, EDUCATION, BIOMARKER OR LABORATORY INFORMATION, HEALTH INDEX SCORES, VISUALIZATIONS, AND COACHING, ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND ARE NOT MEDICAL ADVICE. USING THE SERVICES DOES NOT CREATE A PROVIDER-PATIENT RELATIONSHIP WITH CFMS. COACHES AND AFFILIATES DO NOT DIAGNOSE, TREAT, OR INTERPRET YOUR MEDICAL INFORMATION AND ARE NOT ACTING AS LICENSED HEALTHCARE, DIETETIC, OR MENTAL-HEALTH PROVIDERS. ALWAYS SEEK THE ADVICE OF A QUALIFIED LICENSED HEALTHCARE PROVIDER WITH ANY QUESTIONS REGARDING A MEDICAL CONDITION, AND NEVER DISREGARD OR DELAY SEEKING MEDICAL ADVICE BECAUSE OF SOMETHING YOU ACCESSED THROUGH THE SERVICES. IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER.

4. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that the information you provide is true, accurate, and complete.

5. Accounts and Registration

Some Services require an account, including access to the Portal. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information, keep it current, and notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

6. The Health Hub Portal and Your Data

Where the Services include the Portal, you may request laboratory panels, receive requisitions and results, view visualizations and Health Index scores, schedule provider review, build a health summary from records you choose to share, and communicate through a secure channel. You own your health information. Participation is optional and opt-in. Health information you provide to, or that is generated by, Affiliated Providers may constitute protected health information governed by HIPAA and the applicable provider’s Notice of Privacy Practices, in addition to our Privacy Policy. You are responsible for the accuracy of information you submit and for using the Services in a secure environment.

7. CommunityCare and Cost-Sharing

If you choose to learn about or enroll in CommunityCare, you acknowledge the disclosures in Section 2: it is not insurance, provides no guarantee of payment, and is governed solely by CrowdHealth’s membership guidelines and terms. CFMS’s role is limited to education, facilitation, and, where applicable, receiving a referral or revenue-share attribution. You are solely responsible for evaluating whether CommunityCare is appropriate for you.

8. Fees and Payments

Certain Services, designations, events (including Health Integration Summits), courses, memberships, and tiers require payment. Fees are described at the point of purchase and are due as stated. Unless expressly stated otherwise or required by law, fees are non-refundable. Payments are processed by third-party payment processors (for example, Stripe); by paying, you agree to the applicable processor’s terms, and CFMS does not store full payment-card numbers.

9. Designations and Trademarks

CFMS Partner, CFMS Health Hub™, and advanced Health Hub designations are earned under CFMS requirements and remain subject to ongoing compliance. Use of any CFMS mark or designation is a limited, revocable, non-exclusive privilege granted only while you remain in good standing and comply with CFMS standards and these Terms. You may not use CFMS or CrossFit marks except as expressly authorized in writing, and you must stop using them immediately upon loss of designation or termination.

10. Acceptable Use

You agree not to: use the Services unlawfully or in violation of any regulation; hold yourself out as a licensed clinical provider through the Services when you are not; misrepresent CFMS, CrossFit, LLC, McCoy Medical, or CrowdHealth; infringe intellectual property or privacy rights; upload harmful code; scrape or harvest data; attempt to access accounts or data that are not yours; or interfere with the security or operation of the Services.

11. Intellectual Property

The Services and all content, curriculum, course materials, designations, logos, and software are owned by CFMS or its licensors (including CrossFit, LLC and, for the Portal, 2Be-Human, LLC) and are protected by copyright, trademark, and other laws. Except for the limited right to access and use the Services for their intended purpose, no rights are granted to you. You may not reproduce, distribute, modify, publicly display, create derivative works from, or commercially exploit any part of the Services without our prior written consent.

12. Third-Party Services and Links

The Services reference or connect to third parties, including Affiliated Providers, CrowdHealth, the Coach Graici Portal, payment processors, laboratories, and analytics providers. Your use of third-party services is governed by their terms and privacy policies, and CFMS is not responsible for third-party content, acts, or omissions.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT ANY HEALTH, MEDICAL, FINANCIAL, OR OTHER OUTCOME FROM USING THE SERVICES. TO THE EXTENT ANY JURISDICTION DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CFMS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES, THE PORTAL, ANY CONTENT, ANY COMMUNITYCARE OR COST-SHARING ARRANGEMENT, OR THE ACTS OR OMISSIONS OF ANY AFFILIATED PROVIDER, AFFILIATE, OR THIRD PARTY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CFMS IS NOT LIABLE FOR MEDICAL MALPRACTICE OR THE PROFESSIONAL SERVICES OF ANY AFFILIATED PROVIDER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO CFMS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to defend, indemnify, and hold harmless CFMS and its members, managers, officers, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. You and CFMS consent to the exclusive jurisdiction and venue of the state and federal courts located in Ohio for any dispute, and waive objections based on venue or inconvenient forum. If any provision is held unenforceable, the remaining provisions remain in full force and effect.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without cause. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.
